AORN Board of Directors
2008-2009
The AORN Board of Directors consists of the officers and seven elected members. It has the power, authority, and responsibility to manage the affairs of the Association, except to modify actions of the House of Delegates. The Board meets at least three times per year: once prior to the annual Congress, and twice in the interim between Congresses. Five members of the Board, two of whom are officers, constitute a quorum. The Executive Committee consists of at least three Board members: the President, the President-Elect, and the Vice President. It assists the President in expediting the business of the Association between meetings of the Board of Directors. On the Executive Committee, a majority constitutes a quorum.
The AORN Board of Directors also lead and participate in Board Committees that support key initiatives for the Association.
Roles of the Officers are as follows:
- President - The President serves as the official representative of the Association and presides at all meetings of the House of Delegates, the Board of Directors, and the Executive Committee. The President serves a one-year term as President-elect immediately preceding the one-year term as President.
- President-Elect - The President-Elect observes and assists the President in preparation for assuming the duties and responsibilities of that office.
- Vice President - The Vice President performs the duties of the President in the President's absence or the President's inability to act.
- Secretary - The Secretary ensures that records are maintained of the proceedings of all business meetings of the House of Delegates and the Board of Directors.
- Treasurer - the Treasurer monitors the fiscal affairs of the Association and provides reports and interpretation to the House of Delegates and the Board of Directors.
